1. Acceptance of Terms

These Terms of Service ("Terms") are a binding legal agreement between you ("User," "you," or "your") and Argus Management Limited ("BeatMetrix," "we," "us," or "our"). By accessing and using BeatMetrix, including our website, web application, and services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Service Description

BeatMetrix is a software-as-a-service (SaaS) platform that helps organizations collect and analyze meeting feedback. The Service integrates with your organization's Google Workspace to detect when meetings end and sends short feedback surveys to attendees via Slack. Survey results are analyzed using artificial intelligence and presented to your organization in analytics dashboards, including trends for recurring meetings. The Service also includes an AI assistant, available in Slack, grounded in documents your organization uploads.

The specific features, functionality, and capabilities of the Service may change at our sole discretion. We reserve the right to modify, suspend, or discontinue any feature of the Service with or without notice.

3. Account Registration and Responsibilities

To use BeatMetrix, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from unauthorized access if you fail to notify us promptly.

You represent and warrant that you are at least 18 years old and have the legal authority to enter into this agreement. Organizations using BeatMetrix must ensure that they have the authority to bind all members and users of their organization to these Terms.

4. Acceptable Use Policy

You agree to use BeatMetrix only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. You agree not to:

  • Use the Service to send spam, harassing messages, or malicious content
  • Access or attempt to access the Service through unauthorized means
  • Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms
  • Use the Service to violate any applicable laws or regulations
  • Interfere with or disrupt the functioning of the Service or its infrastructure
  • Transmit malware, viruses, or any code of a destructive nature
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or track personal information of others without consent
  • Use the Service to create profiles or send communications on behalf of others without authorization

5. Calendar and Slack Integrations

5.1 Google Workspace Integration

  • An owner or administrator of your organization authorizes BeatMetrix to access your organization's Google Workspace via domain-wide delegation granted in the Google Workspace Admin Console. Once connected, BeatMetrix accesses organization members' calendar events on the organization's behalf to detect meetings and send post-meeting surveys, and reads the workspace directory to build the organization's team directory.
  • By connecting Google Workspace, your organization represents that it has the authority to authorize access to its members' calendars and directory information, and that it is responsible for informing members that meeting data is processed and surveys are sent through the Service.
  • The Google Workspace connection is required for the Service's meeting-survey and analytics features; other features may work without it.
  • Organization owners and admins may revoke access at any time by disconnecting the integration in BeatMetrix settings or by removing the domain-wide delegation grant in the Google Workspace Admin Console.
  • We are not responsible for any loss or corruption of your calendar data due to third-party services or your own actions.

5.2 Slack Integration

  • You authorize BeatMetrix to connect to your Slack workspace to send surveys and receive responses.
  • Only workspace administrators can authorize Slack integration on behalf of an organization.
  • Survey messages are sent through the BeatMetrix Slack bot and appear as direct messages from the bot to individual users.
  • You agree that Slack users in your workspace may receive survey messages from BeatMetrix.
  • We are not responsible for any issues with message delivery or Slack service availability.

5.3 Third-Party Service Limitations

BeatMetrix integrates with third-party services including Google, Slack, and others. These services have their own terms of service and privacy policies. We are not responsible for the conduct, policies, or service quality of these third parties. Your use of third-party services is at your own risk, and you should review their terms and policies.

We are not liable for any loss, damage, or unavailability resulting from changes to third-party services, their terms, or their policies.

6. Intellectual Property Rights

The Service, including all content, features, functionality, code, and materials, is owned by BeatMetrix, its licensors, or other providers of such material and is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to any content you create or upload to the Service. By uploading content, you grant BeatMetrix a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and analyze your content for the purposes of providing and improving the Service.

You may not reproduce, distribute, modify, or use any part of the Service without our prior written consent, except as expressly permitted by these Terms.

7. Payment Terms and Billing

If and when paid subscription plans are offered and you choose to upgrade to one, you agree to pay the fees specified in your subscription plan. Fees are billed according to the plan you select:

  • Billing Cycle: Fees are billed in advance at the beginning of each billing period (monthly or annually, depending on your plan).
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel.
  • Payment Processing: Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method.
  • Taxes: Fees exclude any applicable taxes (VAT, GST, sales tax, etc.), which will be added to your invoice as required by law.
  • Refunds: All fees are non-refundable except where required by law. Refund requests must be made within 30 days of payment.
  • Price Changes: We may change our fees with 30 days' written notice. Continued use of the Service after the price change constitutes acceptance of the new fees.

8. Data Usage and Privacy

Your use of personal data through the Service is governed by our Privacy Policy. By using BeatMetrix, you acknowledge and agree to our collection and use of information as described in the Privacy Policy.

You represent that you have obtained all necessary consents from, and provided all required notices to, the individuals whose data you process through the Service — including organization members whose calendar events are monitored and Slack workspace members who receive surveys.

9. Service Availability and Maintenance

BeatMetrix is provided on an "as-is" basis. While we strive to maintain high availability, we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform scheduled maintenance or updates without notice.

We are not liable for any loss of data, functionality, or availability resulting from maintenance, updates, or service interruptions beyond our reasonable control.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BEATMETRIX SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunity
  • Loss of goodwill or reputation
  • Any damages arising from unauthorized access or alteration of your data
  • Any damages arising from third-party services or integrations

In no event shall BeatMetrix's total liability exceed the fees you paid in the last 12 months for the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless BeatMetrix, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Your content or data uploaded to the Service
  • Your unauthorized use of another person's identity or account

12. Termination

By You: You may cancel your account at any time by contacting us or through your account settings. Upon cancellation, you lose access to the Service and your account data.

By BeatMetrix: We may terminate or suspend your account immediately if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users.

Effect of Termination: Upon termination, all rights and obligations terminate except those that are intended to survive termination by their nature. Your data will be deleted as described in our Privacy Policy.

13. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. You agree to submit to the jurisdiction of these courts and waive any objection to venue.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service following notification of changes constitutes acceptance of the modified Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BeatMetrix regarding the Service and supersede all prior negotiations, understandings, and agreements, whether written or oral.

16. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
